Vaid MD Terms of Service

1. Agreement to Terms
By accessing or using the Vaid MD platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you ("Physician" or "User") and Vaid MD Inc. ("Vaid MD", "we", "us", or "our").
By creating an account, you confirm that you are a licensed physician in Canada and that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Service Description
Vaid MD is a clinical decision support platform designed exclusively for use by licensed Canadian physicians. Intended use: For licensed physicians to brainstorm differential considerations; not for diagnosis, treatment, or triage. The Platform provides:
- A Differential Diagnosis Engine that generates structured worksheets of conditions physicians may wish to consider — not confirmed diagnoses
- A Documentation Assistant that generates structured SOAP note drafts from physician-confirmed clinical inputs
- Pulse, a research feed with pointers to recent specialty-relevant literature summaries
- Quick Consult, which points to certified Canadian guidelines and reference sources — not direct clinical answers

All outputs are worksheets and drafts for physician review — you confirm every diagnosis, treatment plan, and disposition after independent verification in certified clinical sources.
3. Eligibility
To use the Platform you must:
- Be a licensed physician currently registered with a Canadian provincial medical regulatory authority (College)
- Be practicing medicine in Canada at the time of use
- Be at least 18 years of age
- Agree to all Terms set forth in this agreement
Vaid MD reserves the right to verify physician registration at any time and to suspend accounts for which eligibility cannot be confirmed.
4. Clinical Disclaimer (Critical)
VAID MD IS A CLINICAL DECISION SUPPORT TOOL — NOT FOR DIAGNOSIS, TREATMENT, OR TRIAGE.
Intended use: For licensed physicians to brainstorm differential considerations; not for diagnosis, treatment, or triage.
The Platform is a clinical copilot for licensed Canadian physicians. It supports structured brainstorming of differential considerations and related workflow instruments — it does not provide a diagnosis, treatment plan, triage disposition, or replacement for clinical judgment, medical training, or physician expertise. You remain the decision maker. Physicians retain full and sole responsibility for:
- All clinical decisions including diagnosis made during patient care
- All treatment plans and clinical management decisions
- The accuracy and completeness of any documentation generated using the Platform
- Verification of any AI-generated output before clinical use
All outputs generated by the Platform are clearly labeled as drafts for physician review. No output from the Platform should be used without physician review and confirmation.
Vaid MD accepts no liability for clinical decisions made in reliance on Platform outputs. The Platform is a reference and worksheet instrument analogous to a structured clinical checklist or textbook index — not an automated diagnostic or triage system.
5. User Accounts
When you create a Vaid MD account, you agree to provide accurate information including your name, email address, and provincial medical registration number. Your registration number is used solely as an account-sharing deterrent and is not shared with any regulatory authority or third party.
You are responsible for maintaining the confidentiality of your account credentials. You may not share your account with any other person, including other physicians. Each licensed physician must maintain an individual account.
You agree to notify Vaid MD immediately at support@vaidmd.ca if you suspect unauthorized access to your account.
6. Acceptable Use
You agree to use the Platform only for lawful clinical decision support purposes in the course of your medical practice. You agree not to:
- Enter any patient-identifiable personal health information into generative areas of the Platform, such as the DDx (differential diagnosis) engine or SOAP note generation (e.g., names, phone numbers, emails, addresses, health card numbers, etc.).
- Use the Platform for any purpose other than clinical decision support
- Attempt to reverse-engineer, copy, or replicate any part of the Platform
- Share your account credentials with any other person
- Use the Platform in any way that violates Canadian federal or provincial law
- Attempt to extract, scrape, or systematically download Platform content or AI outputs
7. Patient Privacy: No PHI Policy
Vaid MD is designed to operate without any patient-identifiable personal health information ("PHI"). The Platform accepts only structured, de-identified clinical inputs:
- Patient age range (not exact date of birth)
- Biological sex
- Symptom selections from structured checklists
- Symptom duration selections
- Relevant clinical history from structured checkboxes
You agree not to enter patient names, health card numbers, exact dates of birth, provincial health identifiers, addresses, or any other direct patient identifiers into generative areas of the Platform (including DDx and SOAP note generation). Vaid MD accepts no liability for any PHI entered by a user in violation of this policy.
8. Data and AI Training
By using the Platform and agreeing to these Terms, you consent to Vaid MD using de-identified, aggregated clinical feedback data, including your responses to feedback prompts within the Platform, to improve and train Vaid MD's AI systems and clinical decision support outputs.
This data is used solely for the purpose of improving clinical AI outputs. No individual physician account is identifiable in any dataset used for AI training or improvement. No patient data is used for AI training.
Vaid MD does not sell physician data to any third party for commercial, advertising, or marketing purposes.
9. Subscription and Payment
Access to Vaid MD requires a paid subscription (unless you are on a trial or testing account). Current pricing is $499 CAD per month for individual physician accounts. Pricing for clinic and enterprise accounts is available upon inquiry.
Subscriptions are processed through Stripe and are billed monthly. By providing payment information, you authorize Vaid MD to charge your payment method on a recurring monthly basis until you cancel.
Subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period.
Vaid MD reserves the right to change subscription pricing with 30 days' written notice to active subscribers.
10. Intellectual Property
All content, code, design, outputs, and materials on the Platform are the intellectual property of Vaid MD Inc. and are protected under applicable Canadian copyright and intellectual property law.
You retain ownership of any clinical notes you generate and finalize using the Platform. You grant Vaid MD a limited, non-exclusive license to process your de-identified inputs for the purpose of generating clinical outputs and improving the Platform.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, VAID MD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO CLINICAL ERRORS, MISSED DIAGNOSES, OR PATIENT HARM.
Vaid MD's total aggregate liability to any user shall not exceed the total amount paid by that user in the three months preceding the claim.
12. Termination
Vaid MD reserves the right to suspend or terminate your account at any time for violation of these Terms, failure to maintain physician eligibility, or any conduct deemed harmful to the Platform or its users.
You may terminate your account at any time by contacting support@vaidmd.ca.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.
14. Changes to Terms
Vaid MD may update these Terms at any time. You will be notified of material changes by email at least 14 days before they take effect. Continued use of the Platform following notice constitutes acceptance of the updated Terms.
